Welcome to the VFS Advisor Legal and Privacy Center. This page governs your use of the VFS Advisor Software-as-a-Service (SaaS) application and outlines how Value Factor, LLC ("we," "us," or "our") collects, uses, and protects your data.

1. Privacy Policy

At Value Factor, LLC, we prioritize the security and confidentiality of the data you share with us. This policy outlines how we handle your information within the VFS Advisor environment.

1.1 Information We Collect

To function as your expert business consultant, the VFS Advisor collects specific types of data:

Account Information: Email addresses and authentication credentials managed via our secure identity providers.
User Profiles: Professional context and background information you explicitly save to your "User Profile" to customize the AI's persona.
User Content: The text of your chats and the files (e.g., Excel, PDF, Word) you upload to your Workspaces.

1.2 How We Use Your Data

We use your data strictly to provide the VFS Advisor service:

Service Delivery: We process your uploaded files and chat inputs to generate strategic analysis and business advice.
AI Processing: Your data is processed by our backend systems and passed to enterprise-grade AI models (Google Cloud Vertex AI) solely for the purpose of generating a response to your specific requests.
System Improvement: We track usage metrics (e.g., token counts, error rates) to maintain system stability and prevent resource exhaustion.

1.3 AI Training & Data Privacy

No Training: We do not use your data to train our AI models.
Enterprise Protection: We utilize Google Cloud Vertex AI, an enterprise platform that contractually ensures customer data is not used to train their foundation models.
Isolation: Your proprietary business data remains isolated. It is never added to a public knowledge base.
Permission-Based: The VFS Advisor operates on a "permission-only" basis; the system accesses only the files and context you explicitly upload to a specific Workspace or Chat.

1.4 Data Security

We employ robust security measures to protect your information:

Encryption: Data is encrypted in transit and at rest using industry-standard protocols via Google Cloud Platform.
Access Control: Strict database rules ensure that your Workspaces and Chats are accessible only by you and authorized users on your account.
Data Separation: User data is stored separately from our proprietary system instructions and prompt libraries.

2. Terms of Use & Disclaimers

2.1 Disclaimer and Acknowledgment

The Value Factor System (the “System”) provides its services solely as a tool to help you interpret and analyze information. The content on our System is provided for general information purposes only. It is not intended to amount to advice on which you should rely. You must obtain independent professional advice before taking, or refraining from, any action or inaction on the basis of the content on our System.

Artificial Intelligence and Probabilistic Output: Artificial intelligence and machine learning are rapidly evolving fields of study. Given the probabilistic nature of machine learning, use of the System may result in output that does not accurately reflect real people, places, or facts. The VFS Advisor is an experimental AI tool. Please check its output carefully.

By accessing and using the System, you expressly acknowledge and agree to the following:

2.2 Proprietary Rights

The System, including without limitation its design, structure, algorithms, processes, methods, data models, prompts, outputs, and all related intellectual property, is and shall remain the exclusive property of Value Factor, LLC. and is protected by copyright, trade secret, and other intellectual property laws.

You acquire no ownership or other rights in or to the System except the limited, revocable right to use it as expressly permitted herein. You shall not copy, reproduce, distribute, sublicense, modify, adapt, decompile, disassemble, reverse engineer, or otherwise attempt to derive the source or underlying structure of the System or any portion thereof.

2.3 Purpose and Use

The System is made available solely for the purpose of enabling you to prompt, interpret, and analyze information from certain databases and search engines. It is a tool to assist your judgment, not a substitute for it. The Advisor’s goal is to augment your experience, intuition, and judgment—not replace them. The final strategic decisions are always yours.

2.4 No Advice

The output generated by the System does not constitute legal, financial, medical, or other professional advice of any kind. You must exercise your own independent judgment before relying on or acting upon any output.

2.5 No Warranty

Value Factor, LLC makes no representation or warranty, express or implied, as to the accuracy, completeness, reliability, merchantability, fitness for a particular purpose, or non-infringement of any output generated by the System. All use is on an “as is” and “at your own risk” basis.

2.6 Assumption of Risk and Responsibility

You assume full responsibility for all use of the System and for any decisions, actions, or consequences arising from such use. Value Factor, LLC expressly disclaims all liability for any loss, damage, or harm arising out of or relating to the System or its output.

2.7 Terms and Conditions

Your use of the System is also governed by Value Factor, LLC’s Terms and Conditions in any particular customer contracts. You confirm that you have fully read, understood, and expressly agree to be bound by such Terms and Conditions.
